These Terms apply to the use of this Website, and any other related Agreements or undertakings with the Owner in a legally binding manner. Capitalised words are defined in the relevant section in this document.

By using this Website, Users confirm that they comply with the following conditions. There are no restrictions on Users in the sense that Consumers and Business Users are not distinguished;

Therefore, the Owner reserves the right to take appropriate measures to protect its legitimate interests, including denying Users access to this Website or the Service, terminating agreements, reporting misconduct through this Website or the Service to competent authorities, such as judicial or administrative authorities, when Users participate or are suspected to participate in any of the following activities:

1. violating laws, regulations and/or these terms and conditions
2. infringement of third-party rights;
3. a substantial impairment of the legitimate interests of the Owner;
4. insulting the Owner or a third party.

Liability, indemnity and compensation EU Users

Indemnification and compensation

The User agrees to indemnify, defend and hold the Owner and its subsidiaries, affiliates, officers, directors, agents, co-branders, partners and employees harmless from/against any claim or demand, including attorneys' fees and costs, made by any third party arising out of or in connection with any culpable use of or connection with the Service, non-compliance with these Terms, infringement of third party rights or violation of statutory provisions by the User or its affiliates, officers, directors, agents, co-branders, partners and employees to the extent fit permitted by applicable law.

Limitation of liability

Unless expressly stated otherwise and without prejudice to the applicable legal provisions on product liability, Users have no right to compensation against the Owner (or any natural or legal person acting on its behalf). This does not apply to damage resulting from fatal injury, health damage or damage to physical integrity, damage resulting from failure to comply with an essential contractual obligation, such as an obligation strictly necessary to achieve the purpose of the agreement, and/or damage resulting from intent or gross negligence, provided that this Website has been used appropriately and correctly by the User. Unless the damage was caused by intent or gross negligence, or the damage involves fatal injury, affects health or physical integrity, the Owner is only liable for the extent of the typical and foreseeable damage at the time the contract was concluded.

General provisions. No waiver of right

The failure of the Owner to assert any right or provision under these Terms and Conditions shall not constitute a waiver of such right or provision. No waiver of right shall be deemed a further or continuing waiver of right in respect of the relevant or any other provision.

Interruption of service

To ensure the best possible level of service, the Owner reserves the right to interrupt the Service for maintenance, system updates or other changes, notifying Users appropriately. Within the limits of laws and regulations, the Owner may also decide to suspend or completely terminate the Service. If the Service is terminated, the Owner shall cooperate with Users so that they can withdraw their Personal Data or information in accordance with applicable laws. In addition, the Service may be unavailable due to reasons beyond the reasonable control of the Owner (such as force majeure, including employee actions, infrastructure failures or blackouts etc).

Resale of service

Users may not reproduce, duplicate, copy, sell, resell or exploit this Website and the related service, in whole or in part, without the express prior consent of the Owner, granted directly or through an authorised resale programme.

Privacy policy

For information on the use of their Personal Data, Users may consult the privacy policy of this Website.

Intellectual property rights

Subject to more specific provisions in these Terms, all intellectual property rights, such as copyrights, trademark rights, patent rights and design rights relating to this Website are the exclusive property of the Owner or its licensors and are subject to the protection of applicable intellectual property laws or international conventions. All trademarks, in writing or images and any other marks, trade names, service marks, word marks, images, drawings or logos used in connection with this Website are and shall remain the exclusive property of the Owner or its licensors and shall be subject to the protection of applicable laws or international conventions relating to intellectual property.

Amendments to these Terms

The Owner reserves the right to amend or otherwise modify these Terms and Conditions at any time. In such cases, the Owner shall inform the User of the changes in an appropriate manner. The changes shall only affect the future relationship with the User. Continuing to use the Service means that the User agrees to the revised Terms. If Users do not wish to be bound by the changes, they should stop using the Service. If the User does not agree to the revised Terms, either party may have the right to terminate the Agreement. The applicable prior version governs the relationship prior to the User's agreement. The User may obtain prior versions from the Owner. If required by applicable law, the Owner will specify the date on which the amended Terms will take effect.

Transfer of the agreement

The Owner reserves the right to transfer, assign, novate or subcontract any rights or obligations under these Terms and Conditions, subject to the legitimate interests of the User. Provisions relating to amendments to these Terms and Conditions shall apply mutatis mutandis. Users may not assign their rights or obligations under these Terms in any way without the written consent of the Owner.

Severability

If any provision of these Terms is deemed or declared to be invalid or unenforceable under applicable law, the invalidity or unenforceability of such provision shall not affect the validity of the remaining provisions, which shall remain in full force and effect. EU Users If any provision of these Terms is or is deemed to be void, invalid or unenforceable, the parties shall endeavour to agree amicably on valid and enforceable provisions replacing the void, invalid or unenforceable parts. In case of failure to do so, the void, invalid or unenforceable provisions shall be replaced by the applicable legal provisions, if permitted or specified under applicable law. Notwithstanding the above, the nullity, invalidity or unenforceability of any particular provision of these Terms and Conditions does not nullify the entire Agreement, unless the severed provisions are essential to the Agreement, or of such importance that the parties would not have entered into the Agreement had they known that the provision was invalid, or in cases where the remaining provisions would result in an unacceptable disadvantage to one of the parties.

Applicable law

These Terms shall be governed by the law of the place of residence of the Owner as indicated in the relevant section of this document, excluding conflict of law rules. Exception for European Consumers. However, notwithstanding the above, if the User is a European Consumer and is located in a country whose laws provide for a higher standard of consumer protection, these higher standards shall prevail.

Jurisdiction

The courts of the place where the Owner is located, as indicated in the relevant section of this document, shall have exclusive jurisdiction to decide disputes arising out of or in connection with these Terms and Conditions. Exception for European Consumers. The above does not apply to Users who are European Consumers, nor to Consumers located in Switzerland, Norway or Iceland.

Definitions and legal aspects

This Website (or this Application)
The property enabling the provision of the Service.

Agreement

The legally binding or contractual relationship between the Owner and the User to which these Terms and Conditions apply.

Business User

Any User who is not considered a Consumer.

European (or Europe)

Applicable when a User is physically present or located within the EU, regardless of nationality.

Owner (or We/We)

The natural person(s) or legal entity providing this Website and/or the Service to the Users.

Service

The service provided by this Website, as described in these Terms and Conditions and in this Website.

The natural person or legal entity using this Website.

Consumer

The User who is a natural person and who visits goods or services for personal use, or more generally, does things for purposes outside his trade, business, craft or profession.
